Terms of Service

1. Terms of Use Agreement

This agreement is between you and Bazantic Inc. and its affiliated companies, websites, applications and tools regarding access to https://bazantic.com and related platforms. The Sites provide a unified payment gateway and marketplace that lets developers and their AI agents discover, connect to, and pay for third-party services.

Bazantic makes no representation that the Sites and Services are appropriate or available in all locations. Those persons who choose to access the Sites from other locations do so on their own initiative and are solely responsible for compliance with local laws.

You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive sanctions. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) are not permitted to register.

By acknowledging acceptance during the registration process or by continuing to use the Services, you agree to be bound by these Terms of Service.

2. Automated Agents and Principals

Bazantic is designed to be used by software agents operating under your authorization.

  • Agent means any software, script, or autonomous system that accesses the Service using your credentials, keys, wallet, or other authorization.
  • Principal means the person or organization on whose behalf an Agent acts — for most purposes, you.

You are responsible for configuring and supervising any Agent you authorize. Actions taken by your Agent — including accessing services and consuming Credits — are deemed taken by you, and you are bound by and responsible for them to the same extent as if you had taken them yourself.

Acceptance of these Terms and the policies referenced in them may be made programmatically — for example, through an API call, a signed request, or a payment authorization — and is as valid and binding as clicking to accept.

We may rate-limit, throttle, or suspend automated traffic to protect the Service and other users.

3. Account Registration and Eligibility

To use most features you must create an account. You must be at least 18 years of age and you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

The platform is a professional marketplace designed exclusively for commercial and professional use. You represent that you access the Services for business or professional purposes only and not for personal, household, or consumer use.

Bazantic reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion, including if it suspects your account has been used by someone under the age of 18.

4. Purchases and Payment Terms

Service usage is metered in Bazantic credits ("Credits"), which serve as the universal unit of routing across the Service. Credits are available on a pay-as-you-go basis (one-time top-ups) and through recurring subscriptions.

Payments are processed by Stripe. For recurring charges, you agree to us charging your payment method on a recurring basis without requiring your prior approval for each charge until you cancel. Subscriptions renew automatically at the then-current interval and price until cancelled. You can cancel at any time, effective at the end of the current billing period.

All payments are in U.S. dollars unless otherwise specified. Bazantic reserves the right to correct any errors or mistakes in pricing, even if payment has already been requested or received.

Future payment options may include digital wallet functionality for payments using stablecoins, subject to applicable third-party terms.

5. Refund and Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancelled subscriptions will remain active until the end of the current billing cycle unless otherwise specified.

Usage-based fees are generally not refundable once the API has been used. Refunds may be considered on a case-by-case basis for technical issues or service outages.

6. Prohibited Content and Activities

You agree not to, and not to permit anyone (including any Agent) to use the platform to:

  • Process content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, or sexually explicit
  • Store data related to children under the age of 18, including personal information, images, or other content related to minors
  • Violate applicable laws or third-party rights
  • Engage in unlawful, fraudulent, or deceptive purposes, or to launder money or finance illegal activity
  • Impersonate any person or entity
  • Disable, damage, or impair the platform
  • Gain unauthorized access to systems or other accounts
  • Develop a competing product by copying its features or design
  • Sell, resell, rent, lease, or otherwise commercially exploit the Services without our prior written consent

Violations may result in immediate termination of your account, revocation of access to the Sites and Services, and potential legal action.

7. Email Communications and Marketing

By creating an account, you consent to receive communications from us, including transactional emails related to your account, purchases, API usage, subscription upgrades, invoices, and billing information, as well as promotional emails including newsletters, new API announcements, feature updates, and special offers.

You may opt out of promotional emails at any time by using the unsubscribe instructions provided in each email, adjusting your communication preferences in your account settings, or contacting us directly. You will continue to receive transactional and service-related emails that are essential to your use of our Services.

We will not sell, rent, or share your email address with third-party providers for their marketing purposes.

8. API Usage and Limitations

When using APIs through the Service, you agree to:

  • Comply with rate limits, authentication requirements, and other technical specifications for each API
  • Not circumvent usage limitations or security measures
  • Secure your API keys, tokens, and other credentials
  • Acknowledge that service availability depends on internet connectivity, third-party service availability, and scheduled maintenance
  • Not conduct denial-of-service attacks without explicit prior written permission from both Bazantic and the API provider

Bazantic reserves the right to monitor API usage patterns and suspend access if it detects abusive or harmful activities.

9. Data and Privacy

Our Privacy Policy governs how we handle personal data. Additional provisions apply:

  • You may not collect, store, or process sensitive personal information without appropriate safeguards and compliance with applicable laws.
  • We analyze usage data internally to improve our Services, troubleshoot issues, detect fraud, and enhance user experience.
  • We do not sell your personal data to third parties. However, when you use third-party APIs, your request data and other technical information may be visible to the third-party API provider.
  • You are responsible for ensuring that your use of APIs complies with applicable data protection and privacy laws in your jurisdiction.

All API calls made through Bazantic are routed through our proxy infrastructure and we log the full request and response data (including headers, bodies, and metadata). Request and response bodies are automatically purged after a limited retention period (typically 30 days). After purging, we retain only metadata (timestamps, endpoints, status codes, latency, sizes, and billing-related information).

10. Intellectual Property Rights

The Service, including its software, design, and the Bazantic name and marks, is owned by Bazantic, Inc. and its licensors and is protected by intellectual-property laws. Content is provided "as is" for your use of the Service only and may not be used, copied, reproduced, aggregated, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes without our prior written consent.

API providers retain ownership of their APIs, documentation, and related materials. By making an API available through Bazantic, a provider grants us a non-exclusive, worldwide, royalty-free license to display, promote, and facilitate access to that API.

You retain all rights in the data, prompts, configurations, and other materials you submit to the Service ("Customer Content"). You grant Bazantic a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely as needed to provide, secure, and improve the Service.

11. AI Models and Generated Content

The platform provides access to various AI models and APIs that can generate content based on user inputs. AI models have inherent limitations and may produce content that is inaccurate, biased, inappropriate, or unexpected. Bazantic does not guarantee the accuracy, quality, safety, suitability, or legality of any AI-generated content.

You acknowledge that Bazantic and its API providers are not responsible or liable for any content generated through the use of AI models. You are solely responsible for reviewing, editing, and approving any AI-generated content before using it for any purpose.

You may not use AI models to generate content that is:

  • Illegal, deceptive, harmful, abusive, pornographic, or discriminatory
  • Violating the rights of others, including deepfake pornography, misinformation intended to cause harm, or content that impersonates individuals without consent

AI models may change, be updated, or be modified over time. Bazantic reserves the right to modify, improve, limit, or discontinue AI models without prior notice.

12. Intellectual Property for AI-Generated Content

Access to AI models through Bazantic does not transfer any ownership rights in the underlying AI models, algorithms, training data, or systems. You generally own the outputs generated by AI models through your use of the Services, subject to any underlying rights in the training data, pre-existing works, or third-party content.

You may not claim that AI-generated content is human-created if doing so would be misleading or deceptive. You grant the API provider a license to use, reproduce, and process your input content solely for the purpose of providing the AI service.

AI-generated content may be similar or identical to content generated for other users. Bazantic and its API providers do not guarantee that AI-generated content will be unique or exclusive to you.

13. API Marketplace Protections and Limitations

Bazantic functions as a technology platform that facilitates transactions between API providers and consumers. Bazantic is not the creator, developer, or provider of the third-party APIs available on the platform.

While Bazantic makes reasonable efforts to ensure quality, we do not warrant or guarantee the performance, reliability, security, availability, accuracy, or completeness of any third-party API. Bazantic will not be liable for any damages, losses, or consequences resulting from your use of any API available on our platform.

API providers may modify, suspend, or discontinue their APIs at any time. Bazantic will not be liable for any damages resulting from such modifications, suspensions, or discontinuations. Bazantic is not responsible for how API providers process, store, or use data submitted through their APIs.

In the event of a security incident involving a third-party API, Bazantic's responsibility is limited to taking reasonable steps to notify affected users and coordinating with the relevant API provider.

14. Compliance with AI Regulations and Industry Standards

You must comply with all applicable laws and regulations in your jurisdiction, including but not limited to regulations specifically governing AI, data protection, privacy, consumer protection, intellectual property, and export controls.

You acknowledge that AI regulations are rapidly evolving, and you agree to monitor and comply with new regulations as they emerge, which may include requirements for transparency, explainability, human oversight, risk assessments, or limitations on certain AI applications.

You agree to use APIs and AI models in an ethical manner that respects human dignity, autonomy, privacy, and fairness. You shall not use AI models in ways that discriminate against individuals based on protected characteristics such as race, gender, age, religion, sexual orientation, or disability, or for autonomous weapons, illegal surveillance, or technologies designed to cause harm.

Where required by law, you must disclose when users are interacting with AI systems, provide appropriate notices, and obtain necessary consents. You may also need to maintain records of your AI model usage for compliance, auditing, or accountability purposes.

15. Security Requirements

You are responsible for:

  • Maintaining the confidentiality of all API keys, access tokens, and credentials, and implementing appropriate security measures to prevent unauthorized access
  • Implementing appropriate input validation to prevent prompt injection attacks, data poisoning, or other security vulnerabilities
  • Not attempting to reverse engineer, decompile, or discover the source code, underlying algorithms, or training data of any API or model
  • Promptly notifying Bazantic of any security vulnerabilities, breaches, or incidents related to the Services
  • Complying with appropriate security standards and best practices relevant to your industry
  • Not attempting to bypass, disable, or circumvent any security measures implemented by Bazantic or its API providers

16. Third-Party Services and Content

The platform contains links to third-party websites and services, as well as content provided by third parties, including APIs offered by third-party providers. These third-party services and content are not under the control of Bazantic.

Bazantic is not responsible for:

  • The availability, functionality, or performance of third-party APIs or services
  • The content, privacy policies, or practices of any third-party websites or services
  • Any damage or loss caused or alleged to be caused by or in connection with the use of any third-party content, APIs, websites, or services

You are advised to read the terms and conditions and privacy policies of any third-party websites, APIs, or services you use through the platform.

17. Account Termination and Suspension

Bazantic reserves the right to terminate or suspend your account and access to the Sites and Services immediately, without prior notice or liability, for reasons including but not limited to:

  • Violation of these Terms
  • Creating accounts for persons under 18
  • Processing prohibited content
  • Engagement in fraudulent, abusive, or illegal activities
  • Non-payment
  • Excessive or abusive use of APIs that disrupts the platform
  • Creating multiple accounts for deceptive or abusive purposes
  • Spam activities

Upon termination, your right to use the Services will immediately cease, and we may delete or deactivate your account and all associated information and files. You may close your account through the account closure process available in your account settings or by contacting customer support.

18. Disclaimers and Limitation of Liability

THE SITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BAZANTIC HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BAZANTIC MAKES NO WARRANTY THAT: (A) THE SITES OR SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SITES OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SITES OR SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SITES OR SERVICES WILL MEET YOUR EXPECTATIONS.

IN NO EVENT WILL BAZANTIC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING DAMAGES FROM ERRORS OR INACCURACIES OF CONTENT, PERSONAL INJURY OR PROPERTY DAMAGE, UNAUTHORIZED ACCESS TO OUR SERVERS, INTERRUPTION OR CESSATION OF TRANSMISSION, OR BUGS, VIRUSES, OR TROJAN HORSES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, BAZANTIC'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO BAZANTIC FOR THE SERVICES DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

19. Indemnification

You agree to defend, indemnify, and hold harmless Bazantic, its direct or indirect parent and subsidiary entities, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Sites and Services
  • Your violation of any term of these Terms of Service
  • Your violation of any third-party right, including any copyright, property, or privacy right
  • Any claim that your content or use of the Services caused damage to a third party
  • Any activities conducted through your account, whether or not authorized by you

This obligation will survive these Terms of Service and your use of the Sites and Services.

20. Dispute Resolution

IF YOU DO NOT REJECT IT, THIS SECTION WILL APPLY, AND MOST DISPUTES BETWEEN YOU AND US WILL BE SUBJECT TO INDIVIDUAL ARBITRATION. NEITHER A COURT NOR A JURY WILL RESOLVE ANY SUCH DISPUTE. YOU WILL NOT BE ABLE TO PARTICIPATE IN A CLASS ACTION OR SIMILAR PROCEEDING. LESS INFORMATION WILL BE AVAILABLE IN DISCOVERY. APPEAL RIGHTS WILL BE LIMITED.

Any dispute that relates to your account, your use of the Services, or to this Agreement will be resolved by binding individual arbitration, except as noted below. Either party may assert an individual case in small claims court or your state's equivalent court. Any disputes relating to the enforcement, protection, or validity of intellectual property rights shall not be subject to arbitration. Only a court, not an arbitrator, will decide disputes about the validity, enforceability, coverage, or scope of this arbitration section.

YOU AGREE NOT TO PARTICIPATE IN A CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION AGAINST US IN COURT OR ARBITRATION. YOU MAY NOT BRING CLAIMS AGAINST US ON BEHALF OF ANY OTHER USER OR PERSON NOT ON YOUR ACCOUNT.

Arbitration shall be administered by the Los Angeles, California offices of JAMS under the Streamlined Arbitration Rules and Procedures of JAMS. If a dispute proceeds in court rather than arbitration, it shall be commenced or prosecuted exclusively in the state and federal courts located in Los Angeles County, California.

ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

21. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Los Angeles County, California, to resolve any dispute or claim arising from these Terms of Service. Bazantic retains the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

22. Amendments to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. We will provide notice of changes by posting the updated terms on the Sites, sending you an email, or by other reasonable means. Your continued use of the Sites or Services after any such changes constitutes your acceptance of the new Terms of Service. If you do not agree to the new terms, you must cease using the Sites and Services immediately.

23. Electronic Communications

You consent to receive communications from us electronically, including via email and notices posted on the Sites. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

24. Severability and Waiver

If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. The failure of Bazantic to enforce any right or provision of these Terms of Service will not be deemed a waiver of such right or provision, nor shall any single waiver constitute a further or continuing waiver of any term or condition.

25. Entire Agreement

These Terms of Service, together with the Privacy Policy and any other legal notices or additional terms and conditions published on the Sites from time to time, constitute the entire agreement between you and Bazantic with respect to the Services, and supersede all prior agreements, representations, warranties, and understandings, whether oral or written.
